hereinafter known as Artist.
1. This Agreement shall be legally binding with respect to any and all image oriented artwork created and intended for the use of Sime~Gen Inc. by Artist during his or her tenure as Webmaster or Gatemaster of an Area of simegen.com, or other position which requires designing pages and or images for public pages of simegen.com, whether original, derived, visualized, conceived, or interpreted from the copyrighted written works known collectively and individually as pertaining to the Sime~Gen Universe.
2. Artist shall indicate that any given image is intended for the use of Sime~Gen Inc. by placing it in the subdirectory http://www.simegen.com/.images. Company shall have no claim upon images on Artist's private or public webpages that are not placed in http://www.simegen.com/images.
3. Upon receipt of the consideration of Ten Dollars ($10.00) drawn in U.S. Funds, and other valuable consideration as noted in Paragraph 5, Artist and his or her heirs and successors hereby forever release without limit or exception all rights, any existing copyright, and ownership in perpetuity to the Company. Artist warrants that the images created and intended for the use of Sime~Gen Inc. are his or her original or derivative creation and he or she, as creator, has the right to release said rights and ownership.
4. Company and Artist agree that Company shall, ever after, retain all rights to exclusively use (in any conceivable fashion in existence now or ever to be invented), display, assign, transfer, sell, relinquish or otherwise dispose of, change or duplicate artwork including but not limited to the display via electronic media (primarily the domain known as simegen.com or any successor site), or inclusion on printed media (including, but not limited to stationery, stock certificates business cards, books, magazines, fanzines, and the like), or the use on promotional or for sale three dimensional objects (including but not limited to caps or other apparel, mugs, figurines and the like), board game pieces, cards, figures and the like.
5. Company agrees, as additional valuable consideration, and at the sole discretion of the Company, to display when practicable, the professional contact information of Artist (only as provided by Artist or Artists' recognized Agent): but in any event to display such information on Company's domain. Artist (or Artists' recognized Agent) is required to notify Company from time to time, but in any event on the first day of each calendar year, of the professional contact information then current. Failure, in excess of one calendar year on the part of the Artist to notify the Company of current contact information, will result in the removal of such contact information at the sole discretion of the Company.
6. Company agrees to provide to Artist, without compensation, a user name and password to access, create, and utilize a non-commercial website hosted on the simegen.com domain, contingent only upon compliance by the Artist with the then current "Webmasters Agreement" displayed at http://www.simegen.com/Agreement.html (or successor sites) where Artist may display other examples of his or her art which he or she deems suitable, as well as additional contact information for so long as such domain shall continue to exist.
7. Artist shall deliver images by electronic means, by placing them in the directory http://www.simegen.com/images or submitting them to the Webmaster of simegen.com with directions to place them in said directory with the understanding that they then fall under this Agreement. Removal of images from the /images directory does not rescind ownership or copyright of said images by Sime~Gen Inc..
8. Nothing herein shall be construed to constitute the parties herein as joint venturers nor shall any similar corporate or individual relationship be presumed to exist between them.
9. This Agreement contains the entire Agreement of the parties hereto and supersedes any prior written or oral agreements between the parties in regards to the subject matter contained herein. There are no other representations, promises, agreements, arrangements, or other understandings, oral or written, between the parties hereto respecting the subject matter contained herein which are not fully expressed herein.
